These Terms of Service ("Terms") govern the use of the services provided by KOOKAI PTE. LTD. ("KOOKAI", "we", "us"): AI-powered messaging agents on WhatsApp and LINE, private AI platforms, workflow automation, and this website (together, the "Services"). By using the Services you agree to these Terms. If you use the Services on behalf of a business, you confirm that you are authorised to bind that business.

1. The Services

• Messaging agents. When you message a WhatsApp or LINE account operated by KOOKAI or by a business using our platform, an automated assistant may read and answer your messages, take orders or bookings, and send status updates. Replies may be generated by artificial intelligence and can contain mistakes; important matters are confirmed by the business's staff.
• Business platforms. Business customers use our platforms under a separate service agreement, which prevails over these Terms where they conflict.
• Website. This website is provided for information about KOOKAI.

2. Acceptable use

You agree not to use the Services to send unlawful, abusive, deceptive or unsolicited content; to attempt to gain unauthorised access to our systems or data; to interfere with the operation of the Services; or to infringe the rights of others. We may suspend or block access that breaches these Terms or the policies of the messaging platform (Meta / WhatsApp, LINE).

3. Messaging platforms

Use of WhatsApp is also subject to the WhatsApp Terms of Service and the WhatsApp Business Terms; use of LINE is subject to the LINE Terms of Use. We are an independent business and are not affiliated with Meta Platforms, Inc. or LINE Corporation. You may stop receiving messages from a business account at any time by replying STOP or by blocking the account.

4. Orders, bookings and payments

Where the Services are used to place orders or bookings with a business, the contract for the goods or services is between you and that business. Prices, availability, fulfilment, cancellations and refunds are determined by the business and shown to you before you confirm. Payments are processed by licensed payment providers; KOOKAI does not store card or bank details.

5. Personal data

Our collection and use of personal data is described in our Privacy Policy, including how to request deletion of your data.

6. Intellectual property

The Services, including software, designs, text and trademarks, are owned by KOOKAI or its licensors. You may not copy, modify or reverse-engineer the Services except as permitted by law. Content you send to the Services remains yours; you grant us the licence needed to operate the Services for you.

7. Disclaimers and limitation of liability

The Services are provided "as is". To the fullest extent permitted by law, we exclude all warranties, and we are not liable for indirect, incidental or consequential loss, or for loss of profit, data or business, arising from the use of or inability to use the Services. Where liability cannot be excluded, it is limited to the amount you paid KOOKAI for the Service in the 12 months before the claim, or SGD 100 if you paid nothing. Nothing in these Terms limits liability for fraud or for death or personal injury caused by negligence.

8. Changes and termination

We may update the Services and these Terms from time to time; the effective date above shows the latest revision, and continued use after a change means you accept it. We may suspend or end the Services, or your access to them, where reasonably necessary, including for breach of these Terms.

9. Governing law

These Terms are governed by the laws of the Republic of Singapore, and the courts of Singapore have exclusive jurisdiction over any dispute arising from them.
